Terms of Service

These Terms of Service ("Terms") govern your use of Roofing OS ("the Service") operated by Nexus ZC LLC ("we," "us," or "our"). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

Roofing OS is a software-as-a-service platform that provides roofing contractors with a homeowner portal, job tracking, insurance claim status, messaging, and related tools. The Service is available at roofingos.dev and associated subdomains.

2. Accounts and Eligibility

You must be at least 18 years old and a legal entity or individual authorized to conduct business to use the Service. You are responsible for maintaining the security of your account credentials and for all activity under your account.

3. Subscription and Billing

• The Service is offered at the price stated at checkout. Plans include a free tier (Portal, up to 5 jobs/month) and paid add-ons starting at $25/report. No free trial period — the free tier is free permanently.
• Your subscription renews automatically each month unless you cancel before your renewal date.
• Payments are processed by Stripe. We do not store full credit card numbers.
• No refunds are issued for partial months. You may cancel at any time and retain access through the end of your billing period.

4. SMS Communications

To opt out: Reply STOP to any SMS at any time. You will receive a confirmation and no further messages will be sent. You can also email [email protected] to opt out.

For help: Reply HELP or email [email protected].

Opting out of marketing SMS will not affect transactional messages required to operate your account (e.g., password resets, critical job alerts) unless you request full opt-out in writing.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of these Terms
• Send spam, unsolicited messages, or harassing communications through the Service
• Attempt to reverse-engineer, decompile, or exploit the Service
• Share your account credentials with unauthorized parties
• Upload malicious code or interfere with the Service's infrastructure
• Impersonate another person or entity

6. Your Data

You retain ownership of all data you upload or create through the Service (job records, photos, documents, homeowner information). You grant us a limited license to store, process, and display that data solely to provide the Service to you.

You are responsible for ensuring you have the right to upload and share any homeowner or third-party data through the Service, including compliance with applicable privacy laws.

7. Homeowner Portal

When you send a portal link to a homeowner, that homeowner receives access to job information you have entered. You are responsible for the accuracy of that information. We are not liable for disputes arising from inaccurate job data.

8. Intellectual Property

The Service, including its software, design, branding, and content, is owned by Nexus ZC LLC and protected by intellectual property laws. You may not copy, modify, or distribute any part of the Service without our written permission.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXUS ZC LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE THREE MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless Nexus ZC LLC, its officers, employees, and agents from any claims, damages, or expenses (including attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

12. Termination

We may suspend or terminate your account at any time for violation of these Terms. You may cancel your account at any time. Upon termination, your right to use the Service ceases. We may retain your data for up to 90 days before deletion, unless you request earlier deletion.

13. Governing Law

These Terms are governed by the laws of the State of Colorado, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Denver, Colorado, and you consent to personal jurisdiction in those courts.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on the Service. Continued use after the effective date of changes constitutes acceptance of the updated Terms.
